Summary:YouNow, Inc., a streaming broadcasting service, was founded in 2011 and started a virtual economy for its services in the fall of 2015. In 2017 YouNow issued Simple Agreement for Future Tokens (SAFTs) to investors for a blockchain-based token called PROPS under a Regulation D private placement. In 2019 the service issued PROPS tokens under Regulation A+, which could be distributed to users of the YouNow network. The Securities and Exchange Commission (SEC) approved the Regulation A+ token issuance in July 2019, only the second time the commission had approved a token issuance at that point. The primary issue in this case is how students could craft a token using the YouNow PROPS as a new model for raising capital and building an ecosystem through blockchain utility tokens.
