InspirOn Engineering is a third-generation textile machinery family business. The patriarch, who was in his 72nd year in 2018, announced his intention to reduce his involvement gradually, but there was no succession plan. Chinese acquisitions in Germany transformed the competitive landscape into two business divisions--textile-processing machines and spinning accessories. The stenter business is operating below its true potential, incurring losses and taking up considerable management time and attention. The leadership is yet to decide between three possibilities: (1) scaling up the capacity of the stenter business through additional investment or with consolidation through either a strategic international alliance or an international merger/acquisition, (2) hiving off the stenter business into a separate cost-and-profit centre destined for foreign acquisition or closure, and (3) outright sale of the stenter business together with the proprietary intellectual property rights (IPRs) associated with the new model.The case describes opportunities and constraints during a period of profitable growth for the company as a whole at a time when an international merger or acquisition of the stenter division or its closure is imminent. |
