|a This dissertation examines the choice managers of strategic alliances make as to how alliances will be governed. Transaction cost economics and the resource-based view of the firm are drawn upon to provide the theoretical foundation of this work. It is proposed that managers face a trade-off between two competing objective functions: opportunism minimization and opportunity maximization. This trade-off takes place in the context of the exchange which consists of 1) the specifiability of the complementary assets of the firms, 2) the transaction attributes, 3) the cooperative resources of the firms involved, and 4) the cooperative capabilities of the firms involved. The influence of these contextual elements on the choice of management approach is explained. Arguments are developed as to the performance implications of the management approach. Based on these explanations, hypotheses are developed and tested. One of the main arguments developed in the dissertation is that the management approach to governance used in alliances affects not only the costs of transactions, but may affect the revenue generating possibilities of alliances as well. The appropriate management approach depends largely on the cooperative resources and capabilities of the firms involved. The intent of the dissertation is to offer a more complete framework for the study of strategic alliances. This framework allows prediction of the management approach choice and the subsequent performance implications of that choice.
